    Shareholder register and proxies

Votes come from the register, and a proxy registered once is cast from one link with the right weight on every item.

Decide

Decide the way your articles say

Choose the rule for each item. Assembley counts the votes by weight as soon as voting closes, and the chair declares the result.

  • Simple majority

Motions, accounts and budgets, decided by a majority of the votes cast.

  • Qualified majority

Two thirds or unanimity, set on the item and frozen when the meeting goes live. The chair declares the result.

  • Secret ballot

When the decision requires it, the record shows that a shareholder voted, never how.

  • Board elections

Shareholders rank the candidates, and the seats are counted by single transferable vote, round by round.

  • Weighted votes

Each ballot carries the votes your register gives the shareholder, and every item is counted by weight.

  • Proxies

The organisation registers each proxy, and the holder casts every vote they carry from one link.

FAQ

Questions companies ask

  • Can votes count by capital?

Yes. Each shareholder’s votes come from the register, so a shareholder with more shares carries more votes on every item.

  • Can a shareholder vote by proxy?

Yes. The company enters each proxy before the meeting, and the person holding it votes for every shareholder they represent from their own personal link.

  • Can we combine a meeting in the room with online voting?

Yes. Shareholders in the room and online vote on the same agenda, and it is one count.

  • Does Assembley decide whether a resolution is adopted?

No. Assembley counts the votes against the requirement you set on the item, and the chair declares the result. The record shows both.
